General Information

Alumni By-Laws


ARTICLE I

The Executive Committee, composed of the President and not less that five (5) or no more than seven (7) elected members of the National Board shall be established. The elected members shall be elected by a majority vote of the National Board at a meeting which a quorum is present. The Executive Committee is empowered to act in the name of the Board in all situations where action cannot be deferred until the next regular meeting of the Board. All meetings of the Executive Committee shall be called by the President or a majority of the Committee itself. All authorized acts of this Committee require the majority vote of the Committee. If necessary, members of this Committee can vote by telephone or mail. All actions of the Executive Committee shall be reported at the next regular meeting of the Board.


ARTICLE II

The function of the Nominating Committee is to nominate candidates for office within the Alumni Society. Constituted annually, this Committee shall be composed of the National President, four National Governors chosen by the National Board (non of whom are to be candidates in the forthcoming election), the University Vice-President for Development, the Director of Alumni Relations, the University Chaplain and the Past President of the Alumni Society. Nominees for National Governor are to be presented to the full Board for election by the Board, while nominees for National Officer are to be approved by the Board for inclusion on ballots for election by all credited members of the Alumni Society.


ARTICLE III

QUORUM - A majority of the full Board membership shall constitute a quorum of the Board in order to conduct business at a regular and/or special meeting. No official business shall be conducted in the absence of a quorum.


ARTICLE IV

All Chapter Presidents are ex-officio, non-voting members, of the University of Scranton Alumni Board of Governors.
